Terms & Conditions

These Terms govern your use of Conversaa. Please also read our Privacy Policy, which is incorporated into these Terms.

1. Acceptance of these Terms

These Terms & Conditions (“Terms”) form a binding agreement between you and SourceKode Technologies LLP (operating the Conversaa service) (“we”, “us”) governing your access to and use of an artificial-intelligence assistant that helps businesses respond to their customers on WhatsApp Business and Instagram, together with our related websites, applications, and APIs (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. Definitions

  • “Service” — the Conversaa software, websites, and APIs made available by Conversaa.
  • “Account” — the workspace and login through which you use the Service.
  • “Customer Data” — data you or your end-customers submit to or generate through the Service, including WhatsApp messages and knowledge-base content.
  • “End-customer” — a person who communicates with you over WhatsApp using the Service.

3. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate registration information and to keep it current.

You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly at noreply@conversaa.in of any unauthorized use. You are responsible for the acts and omissions of the team members you invite.

4. The Service

The Service enables businesses to connect a WhatsApp Business account and an Instagram professional account and use AI to help draft and manage replies, maintain a knowledge base, route conversations to human agents, and view analytics. The Service is provided on an evolving basis; features may be added, changed, or removed.

The Service is designed with a human-in-the-loop principle: automated AI replies are configurable per organization, low-confidence or out-of-scope customer queries are routed to a human agent, and business administrators can pause or disable AI features on any individual conversation or on the account at any time.

Beta / proof-of-concept notice. Parts of the Service may be offered on a beta, trial, or proof-of-concept basis and may be provided “as is”, may contain errors, and may change or be discontinued at any time without liability to you.

5. WhatsApp, Instagram, Meta, and third-party platform compliance

Your use of the Service with WhatsApp and Instagram is also subject to Meta’s terms, including the WhatsApp Business Terms, the WhatsApp Business Messaging Policy, and the Instagram Platform terms. You agree to:

  • obtain valid opt-in/consent from recipients before messaging them, as Meta requires;
  • only send permitted message categories and avoid prohibited content;
  • not send spam, bulk unsolicited messages, or content that violates WhatsApp’s or Instagram’s policies;
  • comply with all applicable messaging, marketing, and consumer-protection laws.

Meta may suspend or restrict WhatsApp or Instagram accounts that violate its policies; we are not responsible for Meta’s actions. Conversaa is independent and is not endorsed by, sponsored by, or affiliated with Meta, WhatsApp, or Instagram; those names are trademarks of Meta Platforms, Inc.

5A. Scope of AI functionality; inbound-first design

The Service’s AI features exist solely to support your specific business processes — including responding to customer-initiated inquiries, handling bookings and reservations, sending payment links, answering questions from your own knowledge base, and routing complex or sensitive queries to a human agent — grounded in the business profile and knowledge base that your organization configures.

The Service is not, and must not be configured or used as, a general-purpose or open-domain conversational AI assistant of the type prohibited under Meta’s WhatsApp Business Solution Terms (as updated 15 January 2026) or any analogous Instagram Messaging policy.

The Service is designed primarily to respond to customer-initiated conversations. Any outbound (business-initiated) messaging you send through the Service must use Meta-approved message templates, must be sent only to recipients from whom you have obtained valid opt-in under Meta’s Business Messaging Policy, and must fall within a permitted message category (utility, authentication, marketing, or service).

You agree to configure the Service so that queries outside your business’s scope are escalated to a human rather than answered by the AI, and to keep a human in the loop for material decisions including payments, refunds, and disputes. You may not use the Service to relay or distribute the output of a general-purpose AI assistant.

5B. Meta Tech Provider status; separate billing

SourceKode Technologies LLP is registered with Meta as a Tech Provider under the WhatsApp Business Solution. This means:

  • You (the Client) enter into your own agreement with Meta for use of the WhatsApp Business Platform and, where applicable, Instagram Messaging, and you are billed directly by Meta for conversation and messaging charges under Meta’s pricing.
  • Your subscription to the Service (Conversaa) is a separate agreement with SourceKode Technologies LLP for use of our software. Fees under this agreement are payable to SourceKode Technologies LLP and are independent of any charges you pay Meta.
  • We facilitate your onboarding to the WhatsApp Business Platform via Meta’s Embedded Signup. Ownership of the WhatsApp Business Account created via that flow rests with you at all times.

6. Customer Data and your responsibilities

As between you and us, you own your Customer Data. You grant us a limited, worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide, secure, and support the Service, and as described in our Privacy Policy.

You represent and warrant that:

  • you have all rights, consents, and lawful bases needed to collect and process your end-customers’ data through the Service and to have us process it on your behalf;
  • you will provide your end-customers with any privacy notices required by law and honour their data-subject rights;
  • your Customer Data and its use do not infringe any third-party rights or violate law.

For end-customer personal data, you are the data controller and we act as your processor under our Privacy Policy and, where applicable, a Data Processing Addendum available at privacy@conversaa.in.

7. Artificial-intelligence output

The Service uses third-party AI models to generate suggested and automatic replies. AI output is probabilistic and may be inaccurate, incomplete, or inappropriate. You are responsible for the messages sent from your account, whether drafted by a human or the AI.

  • Review AI-generated content before relying on it, and use human oversight where appropriate;
  • do not rely on AI output for legal, medical, financial, or other professional advice;
  • configure escalation and confidence settings appropriately for your use case.

We do not warrant that AI output is accurate, fit for a particular purpose, or free of errors, and we are not liable for actions you take based on it.

8. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service for unlawful, harmful, deceptive, or fraudulent purposes;
  • send spam or messages without the required opt-in/consent;
  • configure or use the Service to provide a general-purpose conversational AI assistant to end customers;
  • send business-initiated messages without valid, documented, revocable opt-in;
  • send messages in a category or template not approved by Meta;
  • upload malware, or transmit content that is illegal, infringing, defamatory, harassing, hateful, or that exploits minors;
  • attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe/scan or circumvent security or access controls;
  • reverse-engineer, decompile, scrape, or copy the Service except as permitted by law;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted;
  • interfere with or disrupt the integrity or performance of the Service, or exceed rate limits;
  • use the Service to process personal data of persons under 18 years of age in India, or to market products or services restricted for minors.

9. Fees, plans, and trials

Some features may be free, in beta, or subject to fees described at the time you subscribe. If fees apply, you authorize us (or our payment processor) to charge the applicable amounts, which are non-refundable except as required by law. We may change pricing on reasonable prior notice. You are responsible for any taxes and for charges levied by Meta or other third parties (for example, WhatsApp conversation charges).

10. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Conversaa and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved. If you send us feedback, you grant us a perpetual, royalty-free licence to use it to improve the Service.

11. Third-party services

The Service integrates with third-party services (including Meta/WhatsApp and AI providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services or their availability. Any AI provider or platform may change, limit, or discontinue its offering, which may affect the Service.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI output will be accurate. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERSAA AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud or personal injury caused by negligence).

14. Indemnification

You will defend, indemnify, and hold harmless Conversaa and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your Customer Data; your use of the Service in violation of these Terms, WhatsApp/Meta policies, or applicable law; or your infringement of any third-party rights.

15. Suspension and termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required to protect the Service or others, or if required by law or by Meta.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period where feasible, after which it will be deleted or anonymized in accordance with our Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, liability, indemnity, and governing law) will survive termination.

16. Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, provide notice through the Service or by email. Changes take effect when posted (or on the stated effective date). Your continued use of the Service after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. Subject to any mandatory rights you have under local law, you and we agree to the exclusive jurisdiction of the competent courts of Pune, Maharashtra, India for any dispute arising out of or relating to these Terms or the Service. Before filing a claim, you agree to first contact us at legal@conversaa.in to seek a good-faith resolution.

18. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy (and any DPA) are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • Waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may send notices to the email associated with your Account.
